These Terms of Service (“Terms”) govern your access to and use of the Old World Cellars website, products, services, memberships, and related offerings (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

1. Legal Drinking Age & Eligibility

You must be at least twenty-one (21) years of age to access this website, create an account, enroll in a membership, or purchase alcoholic beverages from Old World Cellars (“OWC”).

By using the Services, you represent and warrant that:

• You are at least 21 years old
• You are legally permitted to purchase, receive, and consume alcohol in your jurisdiction
• Any alcohol purchased is for personal consumption only and not for resale

OWC does not sell alcohol to minors. Age verification is required.

2. Compliance With Alcohol Laws

Alcohol laws vary by state, county, and municipality. By placing an order, you acknowledge and agree that:

• You are responsible for understanding and complying with all applicable local, state, and federal alcohol laws
• OWC ships wine only to locations where permitted by law
• Orders may be limited, delayed, modified, or canceled to ensure legal and regulatory compliance

All shipments of alcoholic beverages require an adult signature (21+) upon delivery.

3. Account Registration

To access certain Services, including purchasing wine or enrolling in a membership, you must create an account.

You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activity conducted under your account

OWC reserves the right to suspend or terminate accounts for violations of these Terms or applicable law.

4. Annual Membership Subscription

Membership Overview

Old World Cellars offers an optional annual paid membership that provides access to member pricing, exclusive offerings, and other benefits as described on our website.

• Membership is billed as a twelve (12) month subscription, paid in advance
• Membership benefits may change from time to time
• Membership does not guarantee access to any specific wine, vintage, or quantity
• By enrolling, you expressly authorize Old World Cellars to charge the annual membership fee to your designated payment method on a recurring basis. You acknowledge that your membership has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation.

Membership is not required to browse the website but may be required to access discounted pricing or certain offers.

Automatic Renewal

Your membership will automatically renew every twelve (12) months on your anniversary date, unless canceled prior to renewal.

By enrolling, you authorize Old World Cellars to charge the applicable annual membership fee to your designated payment method at each renewal.

Cancellation & Non-Refundability

• Membership fees are non-refundable, except where required by law
• You may cancel your membership at any time through your account settings
• Upon cancellation, you will continue to receive membership benefits until the end of your current twelve-month term
• Your membership will not renew at the conclusion of that term

OWC reserves the right to modify membership pricing, benefits, or structure with reasonable advance notice.

5. Orders, Pricing & Availability

All orders are subject to acceptance, availability, and legal compliance.

• Prices are listed in U.S. dollars
• Applicable taxes, shipping, and handling fees are disclosed at checkout
• Inventory is limited and may change without notice

OWC reserves the right to refuse or cancel any order due to inventory limitations, pricing errors, suspected fraud, or regulatory concerns.

Pricing Floor & Regulatory Compliance

All pricing is established in compliance with applicable federal, state, and local alcohol regulations.

OWC reserves the right to:

• Maintain minimum pricing thresholds where required by law
• Adjust pricing to reflect regulatory, supplier, or cost-based requirements
• Cancel or modify orders that would result in unlawful pricing or sales activity

6. Location of Sale & Passage of Title

All wine is sold in the State of Washington at Old World Cellars’ licensed premises.

Title to, and ownership of, all alcoholic beverages pass to the buyer in Washington at the time of sale, prior to shipment.

By placing an order, you expressly authorize Old World Cellars to engage a common carrier on your behalf to deliver the wine to your designated shipping address, where permitted by law.

Risk of loss transfers to the buyer in accordance with applicable law once the wine is tendered to the carrier.

7. Shipping & Delivery

• Shipping is available only to approved states and locations
• An adult (21+) signature is required upon delivery
• Multiple failed delivery attempts may result in additional fees or order cancellation
• OWC may, at its discretion, implement automatic shipping holds during periods of extreme temperature to ensure wine quality.

OWC is not responsible for delays caused by carriers, weather conditions, or events beyond our reasonable control.

8. Returns, Refunds & Cancellations

Due to the nature of alcoholic beverages, all wine sales are final, except where required by law.

OWC may, at its discretion, offer replacements or refunds for:

• Damaged shipments
• Incorrect items

Any issues must be reported within forty-eight (48) hours of delivery, with supporting documentation when requested.

9. Intellectual Property

All content on the Services—including text, images, logos, trademarks, graphics, and software—is the property of Old World Cellars or its licensors and is protected by applicable intellectual property laws.

No content may be copied, reproduced, or used without prior written permission.

10. Prohibited Uses

You agree not to:

• Misrepresent your age or identity
• Use the Services for unlawful purposes
• Attempt to bypass compliance, age verification, or shipping restrictions
• Resell or redistribute alcoholic beverages
• Interfere with site security or operations

Violations may result in account termination and legal action.

11. Disclaimer of Warranties

All Services and products are provided “as is” and “as available.”

Wine characteristics such as taste, aroma, and aging potential are subjective and may vary based on vintage, storage, and handling.

To the fullest extent permitted by law, OWC disclaims all warranties, express or implied.

12. Limitation of Liability

To the maximum extent permitted by law, Old World Cellars shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services.

OWC’s total liability shall not exceed the amount paid for the applicable order or membership.

13. Indemnification

You agree to indemnify and hold harmless Old World Cellars, its owners, officers, and affiliates from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your misuse of the Services
• Your violation of applicable alcohol laws

14. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in state or federal courts located in Washington.

16. Changes to Terms

Old World Cellars reserves the right to modify these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
